Welcome to Keel. These Terms of Service ("Terms") are an agreement between you and [DECISION NEEDED: legal entity name] ("Keel," "we," "us") governing your use of the Keel application and website (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use Keel.
Please read §1 (What Keel is — and what it is not) carefully. It is the most important part of this agreement.
1. What Keel is — and what it is not
1.1 Keel is a decision-support tool
Keel helps you see your finances in one place and understand the projected consequences of decisions you choose to explore — "if you allocate $X this way, here is the projected trajectory Y." Keel shows you the math behind your own choices. The decision always stays yours.
1.2 Keel is not an investment advisor
Keel is not an investment advisor, securities dealer, portfolio manager, or financial planner, and is not registered with any securities regulator in Canada or elsewhere. Nothing in the Service is a recommendation, solicitation, or advice to buy, sell, hold, or allocate any security, fund, or financial product.
1.3 No personalized investment advice
Keel does not tell you what to do with your money. It does not generate an allocation for you, pick a "best" fund, or recommend a strategy. Its fund database is a filter, not a ranking. Where Keel offers pre-built strategy templates (such as "Bill Float" or the "Smith Manoeuvre"), those are optional templates you choose to apply — they are illustrations of how a strategy would play out given your inputs, not recommendations that you should use them. ("Bill Float" is the name of a strategy template, not the name of this product. This product is Keel.)
1.4 Projections are illustrations, not guarantees
Every projection, scenario, and figure in Keel is a model based on the inputs and assumptions in effect — including data from your linked accounts and market data from third parties. Models are simplifications. Actual results will differ, sometimes significantly. Past performance does not predict future results.
1.5 Not tax, legal, or accounting advice
Keel's tax-related calculations and figures are general illustrations to help you understand your own situation. They are not tax, legal, or accounting advice. For advice about your specific circumstances, consult a qualified professional.
1.6 You make the decisions
You are solely responsible for your own financial decisions and their outcomes. Keel gives you information and projections to support your thinking; it does not act for you, place trades, or move money.
2. Who can use Keel (eligibility)
To use Keel, you must:
- be a resident of Canada [DECISION NEEDED: confirm geographic eligibility];
- be the age of majority in your province or territory; and
- be able to form a binding contract with us.
Each account is for a single user. Don't share your account or let others use it.
3. Your account
- Sign-in. You can sign in with Google or with an email and password. Keel does not offer anonymous or guest access — using the Service requires an account (see the Privacy Policy, §2.5).
- Security. Keep your credentials confidential and tell us promptly if you suspect unauthorized access. You're responsible for activity under your account.
- Accuracy. Provide accurate information and keep it current.
4. Connecting your financial accounts (Plaid and your institutions)
- Keel connects to your bank and investment accounts through Plaid (see the Privacy Policy, §5). When you link an account, you enter your credentials directly with Plaid, not with Keel; we never receive your bank login.
- By linking an institution, you authorize Keel to access and store the data described in the Privacy Policy for that institution.
- Third-party dependency. The Service depends on Plaid and on your financial institutions. We don't control them. We are not responsible for outages, errors, delays, or inaccuracies caused by Plaid or by your institution, or for an institution choosing not to support a connection.
- You can disconnect an institution at any time in Keel. We then ask Plaid to remove that connection and, by default, delete the data imported from it; keeping that history is an explicit choice you make in the disconnect dialog — see the Privacy Policy (§8–§9) for both paths.
- Plaid is currently the only bank-connection provider Keel supports. If we add another provider, we will update these Terms and the Privacy Policy before it goes live.
5. Market data and AI-assisted features
5.1 Market data
Quotes, security details, and valuations shown in Keel come from third-party market-data providers (such as Finnhub and EODHD) and may be delayed, incomplete, or inaccurate. Don't rely on them for time-sensitive decisions.
5.2 AI-assisted features
Keel uses AI for narrow, assistive tasks only: suggesting a category for a transaction, finding similar funds when you ask, and reading rows out of a screenshot you choose to import (extracted rows are drafts you review before anything is saved). These suggestions can be wrong, and you can override them — and we never overwrite a category you set yourself. As explained in the Privacy Policy (§7), our strategy, tax, and dividend projections are not AI; they are deterministic calculations of the consequences of inputs you choose. AI does not make financial decisions about you and does not give investment advice.
6. Acceptable use
You agree not to:
- use the Service for anything unlawful, or to violate anyone's rights;
- access or try to access another person's account or data;
- probe, scan, or test the security of the Service, or bypass our access controls or rate limits;
- scrape, crawl, or harvest data, or use bots/automated means except as we expressly permit;
- reverse-engineer, decompile, or attempt to extract source code, except where the law says you can;
- interfere with or disrupt the Service or its infrastructure; or
- upload malware or use the Service to harm others.
We may suspend or terminate access for violations.
7. Your content and our intellectual property
- Your data. The financial information and entries you bring to Keel remain yours. You grant us the limited licence needed to host, process, and display that data to provide the Service and the features you use (including the third-party processing described in the Privacy Policy).
- Our IP. Keel — including its software, design, content, and the name "Keel" — is owned by us or our licensors and is protected by law. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service under these Terms. You get no other rights.
8. Disclaimers (no warranty)
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure, that data synced from third parties will be accurate or current, or that any projection will reflect actual outcomes. You use the Service, and make your own financial decisions, at your own risk.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable consumer-protection law (including Quebec's Consumer Protection Act and the Civil Code of Québec), including liability for gross or intentional fault or for bodily or moral injury. Where such law applies, the disclaimers above apply only to the extent that law permits.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, KEEL AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR INVESTMENT, TRADING, OR OTHER FINANCIAL LOSSES, ARISING FROM OR RELATING TO YOUR USE OF — OR INABILITY TO USE — THE SERVICE, OR FROM ANY DECISION YOU MAKE BASED ON INFORMATION OR PROJECTIONS IN THE SERVICE.
Our total liability for any claim relating to the Service will not exceed [DECISION NEEDED: liability cap — counsel].
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable consumer-protection law (including Quebec's Consumer Protection Act and the Civil Code of Québec), including liability for gross or intentional fault or for bodily or moral injury. This section applies even if a remedy fails of its essential purpose, but only to the extent permitted by that law.
10. Indemnity
You agree to indemnify and hold harmless Keel and its service providers from claims, losses, and expenses (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right. 11. Termination and what happens to your data
- You can stop using Keel and delete your account at any time.
- We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users.
- On termination, your right to use the Service ends. Data handling on termination — including retention, deletion, and export — is described in the Privacy Policy (§8–§9). Self-serve account deletion and a full data export are available in your settings.
12. Changes to the Service and to these Terms
We may change, suspend, or discontinue features over time. We may also update these Terms; if we make a material change, we'll update the "last updated" date and notify you through Keel or by email. Continuing to use the Service after a change means you accept the updated Terms. If you don't accept them, stop using the Service.
13. Governing law and disputes
These Terms are governed by the laws of the Province of [DECISION NEEDED: governing-law province] and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. [DECISION NEEDED: forum/venue, and any dispute-resolution process.]
Nothing in this section overrides mandatory consumer-protection rights you have under the law of your province of residence — including, for Quebec residents, rights under Quebec consumer-protection law that cannot be waived by contract.
14. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Keel about the Service.
- Severability. If any part is unenforceable, the rest stays in effect.
- No waiver. If we don't enforce a right, that's not a waiver of it.
- Assignment. You may not assign these Terms; we may assign them in connection with a business transfer.
